We confirm with full corporate authority that we are ready, willing and able to sell the following merchandise in accordance with the following specifications and conditions described below.

Commodity Details:

Gold: Bars

Origin: Zambia
Fineness: 97% or better
Quantity: 50kgs upward
Packing: In Metal Box Fit for Airplane Lifting.
Invoice: Commercial Invoice in Favor of the Buyer
Contract Type: C.I.F
Destination: Dubai

Price: USD 48,000/Kg (Forty Eight Thousand Dollars per Kilogram) including
taxes assay report.

Commission: $2000 per kg

Shipping Documents:

Certificate and Export License, Packing List, Air Way bill
(AWB), Government Mineral Taxes, Valuation Certificate, Customs Release Order and
Insurance Coverage.

Note: The final payment will be made through a SWIFT bank transfer, into the sellers attorney designated bank account for this transactions for the total purchase amount, on specific dates, signed between the parties in the account and bank designated in this contract, after every Monthly gold purity tests, binding on both the buyer and Seller, to avoid the subject of money laundering scrutiny and to abide by International Money Transferring Protocols.

Documents on Export:

The seller must ensure all documents relevant and necessary
for export from the country of origin. The seller must scan and email to the buyer all the
Shipping Documents.

Transfer of Ownership:

Transfer of Title and Goods shall affect immediately in
favor to the buyer, upon confirmation by the sellers bank of receiving clean evidence stating
the payment is properly completed, both clearly and irrevocably.

Transaction Procedures:

The seller and the buyer hereby agree to and fully accept the following procedure for the execution of the transaction by both parties. After receipt of this SPA and its acceptance and a successful transaction of a trial quantity, the Seller and Buyer shall share and sign the mutually reviewed and approved Sales & Purchase Agreement (SPA) for the contract quantity and any further extensions over an agreed period of time:


1. SPA Agreement: Seller Sends SPA to Buyer for transacting trial quantity and for signing SPA.
Buyer shall sign if he agrees with the terms. Buyer will send back a signed SPA.

2. Proof Of Product: The Buyer or Buyer’s representative will engage the Seller at his Office,
in Lusaka, to physically inspect the Product and perform any preliminary testing for the Product.

3. Documentation: The seller will pay for taxes and logistics up to the final destination.

4. SPA and N.C.N.D.A-IMFPA: Buyer and Seller, under the direction of this SPA shall sign the
Sales and Purchases Agreement (SPA) for a long-term trade arrangement and extending regular
Sales and Purchases between Buyer and Seller. The SPA shall be attached with-a complete
N.C.N.D.A-IMFPA Contract legal and valid for the next Five (5) years.


5. Final Assay: After arrival, at the final destination, Buyer and Seller shall engage in the
final assay of the Product. After a successful final assay on Purity and Quantity, the Buyer
shall make full and complete payments to the Seller Account provided in this SPA.


6. All payments shall be in United States Dollars (U.S.D) Transferred to the agreed account.

7. The procedures above shall continue with extensions in the SPA.

Responsibility Of Transaction:

The Gold will remain under the custody, with joint care,
custody and control of the goods delivered by both parties Representatives from
export in Zambia through to the gold being assayed/refined at Destination refinery
until the funds pay out in full to Seller.

Delivery Terms:

C.I.F Buyer’s Destination refinery, upon agreement the
Seller will Ship the Gold consignment to the designated Buyers refinery via
airfreight to the attention of the buyer as per agreement in the SPA with buyer’s
name and details listed on all export documents and packaging of the product.
